Terms of Service

These Terms of Service ("Terms") govern your access to and use of Channel Pro Manager ("Service"), operated by Dynasun Italia Srl ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Channel Pro Manager is a multichannel commerce management platform that provides order management, warehouse management, inventory management, and integrations with third-party marketplaces and shipping carriers. The Service is designed for online sellers to manage their internal business operations.

2. Account Registration

2.1. To use the Service, you must create an account and provide accurate, complete, and current information.

2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3. You must notify us immediately of any unauthorized use of your account at help@channelpromanager.com.

2.4. You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service.

3. Acceptable Use

3.1. You agree to use the Service only for lawful purposes and in accordance with these Terms.

3.2. You shall not use the Service to:

  • Violate any applicable laws or regulations.
  • Infringe upon the intellectual property rights of others.
  • Transmit any malicious code, viruses, or harmful data.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Resell, redistribute, or sublicense the Service without our prior written consent.

4. Marketplace Data and Third-Party Integrations

4.1. The Service integrates with third-party marketplace APIs, including the Amazon Selling Partner API, eBay API, and others. By connecting your marketplace accounts, you authorize Channel Pro Manager to access your seller data solely for the purpose of providing the Service.

4.2. Amazon Selling Partner API Data: Any data obtained through the Amazon Selling Partner API is used exclusively for internal order processing, inventory management, and fulfillment operations on behalf of the authenticated seller. Channel Pro Manager does not aggregate, resell, or share Amazon data with any third party. All Amazon data is handled in strict compliance with Amazon's Acceptable Use Policy and Data Protection Policy.

4.3. Personally Identifiable Information (PII) obtained through marketplace APIs is retained only for as long as necessary to fulfill orders and is automatically deleted within 30 days after order shipment, in accordance with our Data Protection Policy.

4.4. You are responsible for ensuring that your use of marketplace data through the Service complies with the respective marketplace's terms and policies.

5. Data Protection and Privacy

5.1. Our collection, use, and protection of personal data is governed by our Privacy Policy and Data Protection Policy.

5.2. We implement industry-standard security measures including AES-256 encryption at rest, TLS 1.2+ encryption in transit, and access controls to protect your data.

5.3. You retain ownership of all data you submit to the Service. We act as a data processor on your behalf as defined by the EU General Data Protection Regulation (GDPR).

6. Subscription and Payment

6.1. Access to the Service requires a paid subscription. Subscription plans and pricing are available on our Pricing page.

6.2. Subscriptions are billed on a monthly basis. Payment is due at the beginning of each billing cycle.

6.3. All fees are non-refundable unless otherwise stated or required by applicable law.

6.4. We reserve the right to modify pricing with 30 days' prior notice.

7. Service Availability

7.1. We strive to maintain the availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible.

7.2. We are not liable for any downtime or service interruptions caused by circumstances beyond our reasonable control, including third-party API outages.

8. Intellectual Property

8.1. The Service, including its design, features, and content, is the intellectual property of Dynasun Italia Srl and is protected by applicable copyright and trademark laws.

8.2. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business operations during the subscription term.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, Channel Pro Manager and Dynasun Italia Srl shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

9.2. Our total liability for any claims arising under these Terms shall not exceed the total amount paid by you for the Service during the twelve (12) months preceding the claim.

10. Termination

10.1. You may terminate your account at any time by contacting us at help@channelpromanager.com.

10.2. We may suspend or terminate your access to the Service if you breach these Terms, with or without prior notice.

10.3. Upon termination, your data will be retained for 21 days to allow for account recovery. After this period, all data will be permanently deleted in accordance with our Data Protection Policy.

11. Third-Party Services

11.1. The Service integrates with third-party services including marketplace platforms and shipping carriers. These third-party services are governed by their own terms and policies.

11.2. We are not responsible for the availability, accuracy, or content of third-party services.

12. Changes to Terms

12.1. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days' notice.

12.2. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

13.1. These Terms are governed by and construed in accordance with the laws of Italy and the European Union.

13.2. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Foggia, Italy.
